This website is owned and operated by Propel Branding, LLC, a North Carolina Limited Liability Company (“Company,” “we,” “us,” or “our”). By accessing this website, purchasing services, enrolling in trainings, submitting payment, or otherwise engaging with the Company in any capacity, you (“Client,” “User,” or “you”) agree to be legally bound by the terms and conditions set forth herein. If you do not agree with these terms, you must discontinue use of this website and refrain from purchasing services.

These terms constitute a legally binding agreement between you and Propel Branding, LLC.

Legal Name and Jurisdiction

Propel Branding, LLC is organized under the laws of the State of North Carolina. These Terms and all services provided by the Company shall be governed exclusively by the laws of the State of North Carolina, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to services provided, website use, intellectual property rights, payments, or contractual obligations shall be resolved exclusively in Cumberland County, North Carolina. By engaging with the Company, you consent to personal jurisdiction and venue in Cumberland County.

Acceptance of Terms

By purchasing services, booking consultations, enrolling in workshops or courses, or submitting payment, you affirm that you are at least eighteen (18) years of age and legally capable of entering into a binding contract. Continued use of the Company’s services constitutes ongoing acceptance of these terms.

Scope of Services

Propel Branding, LLC provides custom creative and strategic services, including but not limited to:

Logo design
Business card design
Social media graphics
Flyers and marketing materials
Brand guidelines
Business audits (simple and in-depth)
Marketing strategy development
Automation builds and workflow architecture
Process development and systems organization
Operational optimization
Website strategy and design
Strategic consulting packages
Workshops, trainings, and educational courses

All services are custom unless otherwise stated. Strategic services may include proprietary methodologies, internal frameworks, audit structures, automation architecture, system mapping, and documentation processes developed by the Company.

The Company reserves the right to refuse service at its discretion.

Intellectual Property Ownership

All content on this website, including text, graphics, logos, frameworks, training materials, strategic models, documentation structures, workflow maps, systems architecture, and methodologies, is the exclusive property of Propel Branding, LLC and is protected under United States copyright, trademark, and intellectual property laws.

Client-Owned Deliverables

Upon full and complete payment, the Client shall receive ownership rights to final approved creative deliverables specifically produced for the Client. These may include finalized logo files, business cards, social graphics, brand guidelines, and final website visual design files. Deliverables may be provided in PNG, PDF, SVG, JPEG, AI, or vector format as applicable.

Ownership transfer is contingent upon full payment. Until payment is received in full, all intellectual property remains the sole property of Propel Branding, LLC.

Ownership applies only to the final approved deliverables. Drafts, preliminary concepts, unused designs, rejected materials, and internal documentation remain the exclusive property of the Company.

Proprietary Methodologies and Retained Rights

Propel Branding, LLC retains exclusive ownership of all proprietary systems, templates, frameworks, audit methodologies, strategic models, evaluation scorecards, workflow diagrams, automation logic, document structures, training materials, course materials, and internal processes used in the development of Client deliverables.

Clients are granted a limited, non-exclusive, non-transferable license to use any provided strategic materials strictly for internal business use. This license does not permit resale, redistribution, sublicensing, white-labeling, commercial teaching, or replication of the Company’s methodologies.

Clients may not claim authorship of the Company’s frameworks or represent the Company’s intellectual property as their own.

License Restrictions

Clients may share final deliverables internally within their organization. Clients may not share proprietary frameworks with other businesses, consultants, agencies, or third parties. Clients may not use Company systems to create derivative consulting services, digital products, or instructional materials.

Portfolio and Marketing Rights

Propel Branding, LLC reserves the right to display completed work in its portfolio, marketing materials, promotional content, and case studies. If confidentiality is required, a Non-Disclosure Agreement must be requested prior to the commencement of services and is subject to a seventy-five dollar ($75) confidentiality administration fee.

Client Responsibilities

Clients agree to provide all required information, assets, approvals, and communication necessary for project completion. Clients must respond to Company communications and provide required materials within five (5) business days of request.

Failure to provide necessary materials or communication within five (5) business days shall result in the project being deemed abandoned. In such cases, payments are non-refundable. Re-engagement requires a new booking and a ten percent (10%) reactivation fee.

Clients are solely responsible for maintaining control of login credentials and account access. The Company does not store or manage Client login information.

Project Timelines

Standard creative projects are typically completed within one (1) week. Strategic engagements may take one (1) to three (3) weeks depending on scope. Timelines are estimates and may be extended due to Client delays, scope changes, or unforeseen circumstances.

Revisions Policy

Each project includes one (1) major revision and two (2) minor revisions unless otherwise specified. A major revision includes changes to layout, structure, or approved design direction. Minor revisions include color adjustments, font modifications, spacing refinements, or text edits.

Once a design direction has been approved, prior concepts cannot be revisited. Additional revisions beyond those included may be billed separately.

Payment Terms

Deposits are non-refundable. A twenty-four (24) hour cancellation period applies only if no work has commenced and no materials have been submitted. Once work begins, payments are non-refundable.

Digital educational products, trainings, and workshops are non-refundable. By the time digital materials are delivered, the Client has acknowledged satisfaction with scope and agreement terms. Refunds will not be issued unless both parties mutually agree in writing to terminate the engagement prior to substantial delivery.

The Company reserves discretion to issue refunds in rare, mutually agreed circumstances. Refunds will not be granted for change of mind, indecision, or Client error.

Chargebacks and Payment Disputes

Initiating a chargeback after services have commenced or deliverables have been provided constitutes a material breach of contract. The Company reserves the right to pursue recovery of disputed funds, associated processing fees, administrative costs, and legal expenses.

Automation and Third-Party Platforms

The Company may utilize third-party platforms such as Google Workspace, website builders, automation tools, analytics software, or payment processors. The Company is not responsible for third-party service interruptions, pricing changes, platform updates, data loss, or system downtime.

Clients are responsible for all subscription fees associated with third-party platforms. Ongoing maintenance is not included unless expressly agreed in a separate retainer agreement.

Disclaimer of Warranties and Guarantees

The Company provides strategic and creative services based on professional expertise. However, no guarantees are made regarding financial outcomes, revenue increases, sales growth, marketing performance, business success, or measurable results.

Nothing provided by the Company constitutes legal advice, financial advice, tax advice, or investment advice. Clients are responsible for seeking appropriate licensed professionals when necessary.

Limitation of Liability

To the maximum extent permitted by law, the total liability of Propel Branding, LLC for any claim arising from services provided shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.

The Company shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, lost data, business interruption, or reputational harm.

Indemnification

Clients agree to indemnify, defend, and hold harmless Propel Branding, LLC from any claims, liabilities, damages, losses, or expenses arising out of Client misuse of deliverables, breach of these terms, or violation of third-party rights.

Privacy Policy

The Company collects personal information submitted through contact forms, booking systems, payment processors, and email subscriptions. Information may include name, email address, phone number, billing information, and project details.

The Company uses Google Analytics to analyze website performance and user behavior. The Company does not sell personal data. The Company does not knowingly market to individuals under eighteen (18) years of age.

Users may request deletion of their personal data by contacting the Company via email.

Content Use and Attribution

Blog posts and written content may be shared with proper attribution to Propel Branding, LLC. Commercial reproduction, redistribution, or modification without written permission is prohibited.

Force Majeure

The Company shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, internet outages, governmental actions, labor disputes, or platform disruptions.

Modifications to Terms

Propel Branding, LLC reserves the right to modify these terms at any time. Updated terms will be posted on this website. Continued use of services after modifications constitutes acceptance of revised terms.

By engaging with Propel Branding, LLC, you acknowledge that you have read, understood, and agreed to these Legal & Policies in their entirety.
